Terms of Service

Effective date: 23 August 2026. These Terms of Service ("Terms") are a contract between the business or professional that accepts them ("Customer," "you") and the operator of MedDesk Flow at stubclaw.com ("MedDesk Flow," "we," "us"). Contact: hello@stubclaw.com.

By requesting a tenant, submitting an order, paying an invoice, or using MedDesk Flow, you agree to these Terms. If you accept on behalf of a clinic or company, you represent that you have authority to bind it. If you do not agree, do not use the service.

These Terms govern B2B administrative software and professional services. They do not create a clinician-patient relationship. MedDesk Flow is not a medical device, not telemedicine, and not a pharmacy. We do not diagnose, prescribe, or dispense drugs.

1. Products sold

MedDesk Flow sells three kinds of products. Each product is sold separately.

  • Software subscriptions (recurring monthly, USD): Solo Practitioner at $39.99/month (appointment booking, calendar sync, automated SMS reminders) and Growing Clinic at $69.99/month (everything in Solo plus HIPAA-conscious patient intake forms and staff shift scheduling).
  • Add-on modules (recurring monthly, USD, require a core plan): Medical Inventory Tracker at $9.99/month (ledger for non-pharmaceutical supplies such as gloves, syringes, and bandages) and AI Medical Transcription Assistant at $44.99/month (background relay that captures clinic conversations and formats draft clinical notes; it does not diagnose).
  • One-time professional services (starting prices, billed once, USD): Patient Database Migration from $44.99; Front-Desk Staff Virtual Training from $59.99 (live 1-hour remote session); HIPAA Compliance Server Audit from $84.99 (technical review of local network and proxy config, not a legal certification); Enterprise Multi-Branch Setup from $99.99; Custom API / EHR Integration from $104.99.

Published prices may change. The price on the product page and order confirmation at the time you order controls that order. We may change features that are not material to the plan you purchased. If we discontinue a paid module you still subscribe to, we will refund the unused prepaid portion of that module or migrate you to a reasonable substitute.

Access credentials are issued after we accept you as a customer. The public website is not the application. We do not grant a license to practice medicine, bill insurance, or dispense medication.

2. Who may buy

You must be a licensed clinic, a practitioner, or staff acting for that business. We sell to business customers (B2B). We do not sell to consumers seeking medical care, a diagnosis, a prescription, or a video visit.

You will provide accurate clinic and billing information, keep credentials confidential, and promptly revoke access when a staff member leaves. You are responsible for activity under your logins. Notify us at hello@stubclaw.com if you believe an account is compromised. Account holders must be 18 or older.

We may refuse, suspend, or terminate access if we reasonably believe the product is being used outside its category, including as a telehealth marketplace, a drug storefront, or a consumer app for strangers to find clinicians.

3. Payments, taxes, and chargebacks

Prices are in United States dollars and exclusive of taxes. The customer is responsible for applicable taxes. We may collect tax if required.

Payments are processed by Stripe, Inc. We never see full card numbers. Stripe is an independent controller of card data. Stripe's privacy policy is at https://stripe.com/privacy. We do not store card numbers on MedDesk Flow systems.

Recurring subscriptions and add-ons renew monthly until canceled. By placing an order you authorize recurring charges to the payment method on file for each renewal until you cancel under the Refund and Cancellation Policy. Failed payments may result in suspension after notice. You remain responsible for amounts incurred before cancellation.

One-time services are billed once after we confirm scope, usually by invoice or Stripe payment link. A starting price is not a ceiling if the extract is incomplete, the EHR vendor requires unexpected work, or you add locations after scoping. We will write down the revised figure before we continue.

If you have a billing problem, contact hello@stubclaw.com before you file a chargeback or payment dispute. We will review the invoice and the work. Filing a dispute without contacting us can delay access while the processor investigates. This does not limit rights you cannot waive.

This is a business service. We do not offer a consumer cooling-off right beyond what mandatory law requires or what the refunds page states.

SMS included in a plan is sized for ordinary clinic reminder volume. We may charge or require a plan conversation if traffic is abusive, automated in a way we did not enable, or orders of magnitude above a comparable clinic.

4. One-time services, delivery, and acceptance

Services are performed during scheduled windows. Training is delivered live and remotely. A recording may be provided when we say so in the order. The server audit produces written technical findings. It is not a legal opinion, not a certification of HIPAA compliance, and not insurance.

You will provide timely access, sample files without more live patient data than needed, and a decision-maker. Delay on your side does not obligate us to work nights without a new schedule. Deliverables are accepted when delivered or five business days after we make them available, unless you give a written, specific defect list.

Refunds for unused or partial services are described in the Refund and Cancellation Policy.

5. Customer data

You retain rights in the data you and your users put into MedDesk Flow ("Customer Data"), including clinic configuration and any patient information you choose to store. You grant us a non-exclusive license to host, process, transmit, and display Customer Data solely to provide the service, prevent harm, and follow the law or a Business Associate Agreement.

You represent that you have the notices and authorizations needed to place Customer Data in the product, including, where applicable, patient permission to send SMS reminders and a lawful basis to record a visit if you enable transcription. You configure what data you put in the system.

Upon written request at termination we will make a reasonable export of Customer Data available for a limited window, then delete or de-identify it from active systems as described in the Privacy Policy, except copies we must retain.

6. HIPAA and shared responsibility

The customer remains the covered entity (or the customer's own business associate, as the case may be). We are a technology vendor. MedDesk Flow is designed to support HIPAA-conscious clinic workflows. If protected health information ("PHI") will reside in the service, you should execute our Business Associate Agreement (or another BAA we both sign) before placing that PHI in a production tenant. BAAs are available on request. Until a BAA is signed, you agree not to introduce PHI beyond what is strictly needed for a sandbox demonstration.

You remain responsible for your own compliance program: policies, workforce training, patient rights, minimum necessary, device controls on the clinic floor, and deciding what belongs in MedDesk Flow versus your EHR. We remain responsible for the safeguards we describe in the BAA and for operating the product with appropriate administrative, technical, and physical controls.

We do not warrant that use of MedDesk Flow makes you "HIPAA compliant." We do not warrant that we hold a HIPAA certification. No sentence on the marketing site is a substitute for the BAA or for counsel of your own. We do not sell PHI.

7. Acceptable use (prohibited use)

You will not, and will not allow others to:

  • Use MedDesk Flow to practice medicine as a function of the platform, to diagnose, to prescribe, to offer treatment to the public, or to hold the software out as a clinician
  • Use the product to offer telemedicine, a virtual exam room, or a consumer marketplace for care
  • Use the product to sell, advertise, prescribe, or dispense pharmaceuticals or controlled substances, or to operate a pharmacy or drug storefront
  • Use the inventory module as a controlled-substance cabinet or pharmacy inventory of record
  • Treat transcription drafts as signed clinical records without a qualified human review
  • Send SMS that is unlawful, deceptive, or outside the clinic-patient relationship (no purchased lists, no spam)
  • Probe, disrupt, or overload the service; bypass access controls; or resell the product as your own SaaS without a written partner agreement
  • Upload malware, or data you do not have the right to process
  • Use the service to violate export, sanctions, privacy, or healthcare laws

We may remove content or suspend a tenant that violates this section. We will try to notify the account contact unless the law or an active threat makes that unwise.

8. Transcription module

If you purchase the AI Medical Transcription Assistant, you understand it is a drafting aid. Outputs can be incomplete or wrong. A licensed, authorized clinician at your organization must review, edit, and take professional responsibility for any note that enters a chart. It does not diagnose. We are not present at the encounter and do not supervise care. You will obtain any consent your jurisdiction requires before capturing audio.

9. Third-party services and service levels

Payments (Stripe), SMS gateways, email, hosting, form relays, font delivery, and optional speech vendors are third parties with their own terms. We are not responsible for a third-party outage we did not cause, but we will work in good faith to restore the parts we control. EHR integrations are only as good as the other vendor's API and your mapping decisions.

We will provide the service with commercially reasonable skill and care. Unless a signed order states a specific uptime commitment, we do not guarantee a particular uptime percentage. Scheduled maintenance and third-party outages can occur. Support is available by email at hello@stubclaw.com, Monday to Friday, 9:00 to 17:00 Eastern, unless an order says otherwise.

10. Intellectual property

We and our licensors own MedDesk Flow, the site, the marks "MedDesk Flow," and related documentation. We grant you a non-exclusive, non-transferable right to use the software during a paid subscription for your internal clinic operations. You may not reverse engineer the product except to the extent a statute forbids that restriction. Feedback you send may be used to improve the service without obligation. Customer Data remains yours, as Section 5 says.

11. Warranties and disclaimers

We warrant that we will provide the service with reasonable skill and care consistent with a commercial B2B SaaS vendor. One-time services will conform in material respects to the written scope. If they do not, our obligation is to re-perform or refund the fee for the non-conforming portion. That is your exclusive remedy for that failure.

EXCEPT FOR THE PRECEDING SENTENCES, THE SERVICE AND SITE ARE PROVIDED "AS IS." WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT LAW ALLOWS. WE DO NOT WARRANT UNINTERRUPTED ACCESS, ERROR-FREE TRANSCRIPTION, OR THAT THE SOFTWARE WILL MEET A CLINICAL, BILLING, OR REGULATORY OUTCOME. WE DO NOT PROVIDE MEDICAL, LEGAL, OR PHARMACY ADVICE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

EXCEPT FOR (A) YOUR PAYMENT OBLIGATIONS, (B) YOUR INDEMNITY OBLIGATIONS, (C) MISAPPROPRIATION OF INTELLECTUAL PROPERTY, OR (D) LIABILITY THAT CANNOT BE LIMITED UNDER LAW, EACH PARTY'S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. FOR A ONE-TIME SERVICE, THAT CAP IS THE FEE PAID FOR THAT SERVICE.

The product is administrative software. We are not liable for clinical decisions, missed appointments that a human could have prevented, or a clinic's failure to review a draft note.

13. Indemnity

You will indemnify and hold MedDesk Flow harmless from claims arising out of Customer Data, your use of the service in violation of these Terms or law, your failure to obtain rights or consents (including recording and SMS), or care you or your clinicians provide. We will indemnify you against third-party claims that the unmodified software, as provided by us, directly infringes a U.S. intellectual-property right, provided you give prompt notice and control of the defense. We may modify the service, obtain a license, or terminate the affected portion with a refund of prepaid fees for that portion.

14. Term, cancellation, and suspension

These Terms start when you first use the site to request a paid service or when you first access a tenant, and continue until all subscriptions and services end. You may cancel a subscription as described in the Refund and Cancellation Policy. Cancellation of a used monthly period does not refund that month. We may suspend for non-payment, material breach, legal risk, or threat to the service. We may terminate for material breach that remains uncured thirty (30) days after notice, or immediately for the acceptable-use violations in Section 7.

15. Publicity

We will not use your clinic's name in a customer list without permission, except that we may identify the fact of a relationship in a confidential sales conversation if you have already made the relationship public.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

The state and federal courts located in Delaware will have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information. The parties waive a jury trial to the extent a court will enforce that waiver. Each party will bear its own costs unless a statute or the court says otherwise.

Before filing, the complaining party will write to the other (hello@stubclaw.com for us) and allow thirty (30) days to discuss a resolution, except for injunctions.

17. Miscellaneous

These Terms, plus any order form, BAA, the Privacy Policy as it describes processing, and the Refund and Cancellation Policy, are the entire agreement about the service and supersede prior marketing conversations. A signed BAA controls if it conflicts on PHI. If a court finds a clause unenforceable, the rest remains. We may assign these Terms in connection with a reorganization or sale. You may not assign without our consent, except to an affiliate or successor of your practice with notice. Waiver must be written. Notices to you may go to the email on the account. Notices to us go to hello@stubclaw.com. We are independent contractors. There are no third-party beneficiaries except as a BAA names individuals for their privacy rights.

Force majeure: neither party is liable for delay caused by events beyond reasonable control, including outages of a major cloud or SMS provider, provided the delayed party uses reasonable efforts to resume.

18. Changes to these Terms

We may update these Terms by posting a new version on stubclaw.com and updating the effective date. Material changes will also be emailed to account contacts. If you do not agree, you must stop using the service and cancel before the new terms take effect. Continued use after the effective date is acceptance.
